The Not Charity Intended package is ideal if you are certain that your organization does not intend to become a charitable organization in the future. Typically, these types of organizations include community associations, sports and recreation groups, arts and cultural groups, health and wellness organizations, housing initiatives, and newcomer settlement groups.
What is 'Charity Intended in Future' package?
The Charity Intended package is ideal if you wish to keep the option open for becoming a charitable organization in the future. Typically, organizations that opt for this package include faith-based institutions, those focused on poverty relief, promoting education and awareness, providing senior or social services, or promoting a specific benefit to the community.
How to get organization's by-law?
We provide a service to prepare the by-laws for your organization. Our in-house legal and accounting teams will prepare, review, and finalize the by-laws in accordance with the Not-for-Profit Corporation Act. You will have the option to include the by-laws in your package during the next steps.
Is it a one-time payment?
Yes. It's a one-time payment and there is no monthly or annual fees.
How should I receive the documents?
You will place your order online by completing the form and making payment via credit card or Interac e-Transfer. Once we receive your order, we will review it and proceed with the registration accordingly. Your corporate documents will be sent to you by email. Why activities are so important?
To qualify as a charity, an organization must have purposes that are exclusively charitable, along with charitable activities that support those purposes. The purposes (also known as objects) outline the organization's aim or primary intent, while the activities detail how the organization will achieve its objectives.
How to describe the activities?
When describing a charitable activity, consider the following points:
  • what you want to achieve
  • how you're doing it – detailed plans
  • who the beneficiaries are and how they are selected any fees charged
  • frequency and length of the activity
  • involvement of employees and volunteers
  • how you maintain direction and control over activities and resources
  • other logistics (transportation, facilities, etc.)

Alberta Name Rules
The name must be unique and should not closely resemble those of other businesses. Ideally, the name should include the following components:
  1. A unique or distinctive word such as made-up word or a person's name.
  2. Second part of the name describes the service your business is offering.
Examples of good name ideas are: ABCXYZ Home Renovation, Sarah's Mexican Restaurant, Thunder Bay home renovations.The name must contain a distinctive element followed by a descriptive element. Example: ABCXYZ Manufacturing.
In the above name, 'ABCXYZ' is the distinctive element and 'Manufacturing'.
What is a NUANS Report?
It is a computerized name search report generated based on a proposed corporate or business name or trademark from government databases. This report lists similar and conflicting names of existing businesses and trademarks. To incorporate a federal corporation, an appropriate NUANS report is required.
Are there different type of NUANS?
Yes. There are 2 different kinds of reports:
  • A NUANS report is required for federal incorporation, as well as for each of the following provinces: Alberta, British Columbia, and New Brunswick.
  • The remaining Canadian provinces have their own name approval processes and do not require a NUANS report. Examples of such jurisdictions include: British Columbia, Quebec, Manitoba, Saskatchewan, Newfoundland and Labrador, Prince Edward Island, and Yukon. Each of these provinces requires a name search report from their respective provincial database and registry, rather than from the NUANS database.
Why do I need a NUANS & name approval ?
A NUANS report is required for all named incorporations. This name search report does not guarantee that the name will be accepted by the government. We also conduct an analysis of the name alongside the NUANS report to ensure it is suitable and acceptable for the corporation's name.

What is the Residency Requirement for a director?
There is no specific residency requirement for an Alberta Corporation. Both Canadian nationals and foreign nationals can serve as directors of an Alberta Corporation. The latest amendment to the Alberta Business Corporation Act on July 5, 2021, removed the previous residency requirement for directors.

Who are the Officers in a corporation?

Which title to choose for Officers?
There are no specific rules regarding the titles of officers, so you can use any title that best fits the duties of the officer. Who needs a GST/HST account?
f you sell products and services in Canada and collect GST/HST from your customers, you are required to obtain a GST/HST account number.
Who needs a payroll account?
If you hire employees, including yourself, you will need to obtain a Payroll Account Number.
Who needs an Import account?
If you import goods into Canada, you are required to have an Import Account Number.
Who needs an Export account?
If you export goods out of Canada, you must obtain an Export Account Number.
Why should I choose in package?
  1. These services, when included with the package, are more cost-effective. Opting to obtain these services later involves a manual process that can be more expensive and time-consuming.
  2. Costs incurred during business setup are referred to as Business Development Expenses and are tax-deductible. In contrast, costs that arise after the business is registered are classified as operational costs and are not tax-deductible. Since these expenses are mandatory for filing, it is advisable to include them in the package.

Who needs to register with WCB?
  • Registering with Workers' Compensation Boards (WCB) is mandatory for most businesses in selected provinces within 10 days of hiring their first employee. Certain types of businesses may be exempt from mandatory registration based on their activities (for example, banks, insurance companies, hair salons—though there are exceptions, private schools or daycares, and travel agencies). However, many employers in these industries opt to register with the WCB anyway to ensure protection for their workers.

AGREEMENT TO OUR LEGAL TERMS

Welcome to BUSINESS REGISTRATION CENTER INC.

We are Business Registration Center (‘Company’, ‘we’, ‘us’, or ‘our’).

Business Registration Center is a registered Company in Mississauga, Ontario, Canada. We operate the website https://registry-alberta.ca/ (the ‘Site’), as well as any other related products and services that refer or link to these legal terms (the ‘Legal Terms’) (collectively, the ‘Services’).

These Terms and Conditions constitute a legally binding Agreement between Business Registration Center and all its Users.

If you access and/or use our Website, it means that you have read, understood, and agreed to be bound by these Terms and Conditions and other applicable laws, statutes and regulations. If you do not agree with all these legal terms, you may not access our Website.

Changes to the Terms and Conditions

The Company reserves the right to revise and amend these Terms and Conditions at our discretion without any previous notice. All changes are active as soon as we post them on our Website, and it is the Users’ responsibility to review the Website periodically and stay informed of any changes.

The Company reserves the right, in our sole discretion, to make changes, modifications or delete these Legal Terms at any time and for any reason. We will alert you about any changes by updating the ‘Last updated’ date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.

The Services are intended for users who are at least the age of majority in their Province or territory of residence. In Ontario, persons under the age of 18 are not permitted to use or register for the Services.

1. OUR SERVICES

At Business Registration Center we are committed to offering high quality services and products that meet the needs of our customers. At all times it is our priority to distribute our products and services according to the laws and regulations of any country or jurisdiction. However, it is your responsibility as User, to ensure that the use of this Website and our services comply with the laws and regulations of your country or jurisdiction.

Business Registration Center is a private company that provides business registration services. We are not a government agency and are not affiliated with, endorsed by, or connected to any federal, provincial, or municipal government. Our services involve preparing and submitting documents to government agencies on your behalf, for which we charge service fees separate from any government fees.

2. INTELLECTUAL PROPERTY RIGHTS

2.1 Our Intellectual Property Rights

The materials we use on this Website, including all content, features, illustrations, images, icons, logos, etc. are intellectual property of Business Registration Center. The Company’s intellectual property is protected by domestic and international copyright law, trademark and other intellectual property laws.

Our Terms of Use allow you to use our materials for your own business purposes or, if you are a professional intermediary, on behalf of your clients. You are authorized to print or download pages from the Website for these purposes, as long as you follow this Agreement with our Company.

You are NOT allowed to make modifications of any material from our Website, resell or redistribute our content, or use our materials to offer competing services.

3. USE OF SERVICES AND PRODUCTS

Our services and products are intended for direct use by the purchasing party or, where the purchasing party is a professional intermediary (such as a lawyer, accountant, or business consultant), for use on behalf of the intermediary’s clients. Subject to your compliance with these Legal Terms, you may use our Website, services, and products, but you are not permitted to resell, white-label, rebrand, or redistribute our services as your own, or to copy, reproduce, or republish our content without our prior written consent.

Professional Intermediaries: Lawyers, accountants, business consultants, and other professionals may purchase our services on behalf of their clients. In such cases, the professional intermediary is the customer of record and is responsible for payment, communication, and compliance with these Terms and Conditions. The intermediary is responsible for ensuring their client provides accurate information and understands that Business Registration Center‘s contractual relationship is with the intermediary, not the end client.

Prohibited Uses: You may not resell, white-label, rebrand, or otherwise redistribute our services as if they were your own offerings. You may not use our services to operate a competing incorporation or business registration service. Violation of these restrictions constitutes a material breach of these Terms and Conditions.

By using our Website, services or products, you agree that you will use our Website only for lawful purposes and according to our Terms and Conditions. You further agree that you will not violate any laws or regulations; infringe on the rights of others; attempt to gain unauthorized access to our systems; use our Services to distribute harmful or illegal content.

If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: info@registry-alberta.ca. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

4. USERS’ REPRESENTATIONS

By using the Services, you indicate and certify that:

  • All the information you provide to us is true, correct, present and complete;
  • That you will inform us immediately if there is any change in your information;
  • That you have the legal age and capacity to enter into this Agreement and agree to adhere to these Legal Terms;
  • You will only use our Website and Services for legal and authorized purposes;
  • You will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your order and refuse any current or future use of our Services (or any portion thereof).

5. USERS’ RESTRICTIONS

By using this Website, you expressly agree and acknowledge that you are solely responsible for the activities that occur when you use our Site or Services. You are not allowed to transmit or post any content that is unlawful, offensive, threatening, defamatory or obscene.

Business Registration Center reserves the right to determine whether or not any content is appropriate and complies with these Terms and Conditions.

6. USERS’ IDENTITY VERIFICATION AND AUTHORIZATION FOR PAYMENT

Business Registration Center follows the standard rules of Identity Verification according to Canadian law including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable anti-money laundering regulations. We are required to verify the identity of a payer if they are not the Director, Incorporator, or partner of the business, etc. In those circumstances, Business Registration Center will not process an order or offer a service, until a successful Identity Verification of the payer is completed and Consent of Authorization for the payment have been obtained. Furthermore, if there is a requirement regarding a payment clearance from the government or another agency, our company will also require the payer to send Identity Verification and Consent Authorization.

7. USERS’ DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

7.1 Data Retention

Business Registration Center retains customer information for varying periods based on the nature of the data and applicable legal requirements. Our retention schedule is as follows:

Financial Records: We retain billing information and credit card transaction records for a period of six (6) years from the date of transaction to comply with tax and accounting requirements under Canadian law.

Order Documentation: Documents collected or generated in connection with any orders, including government forms, incorporation documents, and related materials, are available (In digital form) at no additional charge for up to ninety (90) days following the completion of the order. After this 90-day period, document requests fall outside the scope of the original service. If you require assistance retrieving documents after this time, a new service request and applicable fees will apply.

8. PRODUCTS AND SERVICES

At Business Registration Center we are committed to delivering excellent customer service and products to our customers. Our Company prides itself on getting our customers’ satisfaction with our services and products delivered. We make every effort to display with accuracy the features, specifications, colours and details of the products available on the Website. However, we cannot certify that all the information provided on our Website is correct, complete or free of errors. Our products and services are subject to availability, and we cannot assure that the items or products will be available.

We reserve the right to discontinue any products or services on our Website, at any time for any reason. Prices for all products are subject to change.

8.1 Address Service

Service Description: The Address Service enables Users who do not maintain a physical address in a required jurisdiction to utilize an address provided by Business Registration Center solely for business registration purposes. This Service is strictly limited to satisfying registration requirements and shall not be used for business operations.

Service Agreement Required: To activate the Address Service, Users must execute a separate Address Service Agreement with Business Registration Center. This Agreement contains additional terms and conditions specific to the Address Service and constitutes Business Registration Center‘s formal consent for the User to utilize the provided address. The Address Service shall not be deemed active until such Agreement is fully executed by both parties.

Mail Scanning Service: The Address Service includes a mail scanning service with the following limitations:

  • Only official government correspondence will be accepted, scanned, and forwarded digitally to the User
  • All other mail, including but not limited to bank statements, personal correspondence, marketing materials, and packages, will be refused and returned to sender
  • Business Registration Center assumes no liability for refused mail or any consequences arising from such refusal

Subscription and Renewal: The Address Service is provided on an annual subscription basis. Users must renew the Service each year to maintain an active address. The renewal fee must be paid on or before the expiry date to ensure continuous service.

Non-Payment Consequences: If payment for renewal is not received within thirty (30) days after the expiry date:

  • The outstanding amount will be sent to a collection agency
  • Business Registration Center will notify the relevant government authorities that the business is using the address without authorization
  • The User will be notified via phone and email before such actions are taken
  • The User may face legal consequences for unauthorized use of the address

8.2 Agent Service (Agent for Service/Attorney Service)

Service Description: The Agent Service satisfies governmental requirements in certain jurisdictions that mandate a local resident act as a representative for businesses. This Service enables Users who are not residents of the required jurisdiction to register their business by appointing Business Registration Center‘s designated agent as their representative solely for registration and statutory purposes.

Service Agreement Required: The Agent Service requires execution of a separate Agent Service Agreement between the User and Business Registration Center. This Agreement contains additional terms and conditions governing the agent relationship and includes Business Registration Center‘s consent to act as the User’s agent for service. The Agent Service shall not commence until the Agent Service Agreement is fully executed by both parties.

Scope and Limitations: The Agent Service is strictly limited to meeting registration requirements and receiving official government correspondence. The appointed agent does not have authority to:

  • Conduct business operations on behalf of the User
  • Enter into contracts or agreements
  • Make business decisions
  • Represent the User in any capacity beyond statutory requirements

Subscription Terms: The Agent Service operates under the same subscription model as the Address Service, requiring annual renewal and payment. All terms regarding renewal, non-payment consequences, and notification procedures outlined in Section 8.1 shall apply equally to the Agent Service.

8.3 Government Information and Documentation Fees

Business Number: Upon successful registration, a Business Number is typically generated automatically by the government. While this number is issued at no cost by the government, Business Registration Center charges a service fee to retrieve, process, and securely deliver this information to the User.

Company Key (Ontario) and Similar Identifiers: In Ontario, a Company Key is automatically generated upon incorporation. Other jurisdictions may issue similar codes, identifiers, or passwords. While these are generated at no cost by the government, Business Registration Center charges a service fee for:

  • Retrieving these credentials from government systems
  • Securing and safeguarding this sensitive information
  • Delivering the information through secure channels
  • Providing guidance on proper usage and security

Fee Justification: These service fees compensate Business Registration Center for the time, expertise, and secure systems required to obtain and deliver government-issued information that Users may otherwise need to retrieve themselves through government channels.

8.4 nstant and Automated Products

Business Registration Center may offer certain products or services that are generated, retrieved, processed, or delivered automatically or near-instantly through the Website, including through third-party systems, APIs, or government/registry data sources. These products may include, where offered, instant name searches, Nuans reports, document retrievals, or other automated products. Because processing begins immediately upon order placement, these products may be non-refundable as set out in Section 12.

9. PURCHASES AND PAYMENT

The prices of the services or products on this Website are delivered in Canadian currency (CAD).

We accept the following forms of payment:

  • Visa
  • Mastercard
  • PayPal
  • Interac
  • American Express
  • Discover

By ordering our Services or Products you agree to provide your current, complete, and accurate information for all purchases, such as your email address, payment method, credit card information, etc. Once we receive your payment information, we will email you to confirm your transaction has been processed. You further agree to make all the payments for your purchase and any applicable shipping charges, if applicable.

By placing an order on our Website, you accept that we may make errors or mistakes in the orders and will make the corrections to the pricing accordingly.

We reserve the right to reject any order placed on our Website if we consider there is a discrepancy, a possible scam or does not meet our verification requirements.

Billing Corrections: In the event of a billing error by Business Registration Center, such as a duplicate charge or incorrect amount charged, we will correct the error by reversing or adjusting the charge. Billing corrections are administrative adjustments and are handled separately from our Refund Policy.

Contract Formation: A binding contract between you and Business Registration Center is formed at the moment your payment is successfully processed. By completing a purchase, you acknowledge that you have read, understood, and agreed to these Terms and Conditions, including our Refund Policy. Order confirmation emails are provided for your records and do not affect the timing of contract formation.

10. SERVICE TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use our Services or products. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR PRODUCTS AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

The Agreement of services or our products starts the day you request our services or products, and it can expire or terminate, depending on the nature of the product or service we provided.

Termination:

An agreement terminates when the parties do not reach the end of the agreement but one of them desires to terminate it because the other party violated the provisions of this Policy. Any refund in such circumstances shall be subject to Section 12 (Refund Policy), and fees designated as non-refundable in that section shall not be refunded.

In the following cases we may decide to terminate our services with you:

  • If you place an order with us but you violate our Agreement;
  • If we cannot verify your identity;
  • If we believe there is any suspicious activity on your part; and
  • If you do not provide the documentation we request from you in a timely manner.

Expiration:

When an agreement expires, it is the “end” of the contract and there cannot be a refund, as the agreement has already expired. The service is valid for a certain period and once the time arrives, the agreement expires.

11. SERVICE LIMITATION AND EXPIRATION

11.1 Suspension and Termination

In the case that Business Registration Center notices any issue with an order, and there are any possible risks, consistent and material violations of policies, Business Registration Center reserves the right to suspend or terminate the service if it is mandatory by law.

11.2 Abandoned Orders

In the event that Business Registration Center requires additional information or documentation from a User to complete an order, and the User fails to respond to our communication attempts, the following protocol shall apply:

Communication Timeline: When we require a response from the User to proceed with an order, Business Registration Center will contact the User via phone and email. If no response is received within seven (7) days of the initial contact, we will send a second reminder. If the User still fails to respond, a third and final reminder will be sent, which will include a deadline of an additional seven (7) days for the User to respond.

Order Abandonment: If the User fails to respond within twenty-eight (28) days from our initial contact attempt, the order shall be deemed abandoned and Business Registration Center will close the order. No refunds will be issued for abandoned orders, as the abandonment is due to the User’s failure to provide necessary cooperation to complete the Services.

Reactivation: Should the User contact Business Registration Center after an order has been deemed abandoned, we reserve the right, in our sole discretion, to refuse reactivation of the order. If we agree to reactivate an abandoned order, the User may be required to pay a reactivation fee in addition to any outstanding amounts before Services can resume from the point of abandonment.

12. REFUND POLICY

Thank you for choosing Business Registration Center. We strive to ensure that you are fully satisfied with our services and products. Before placing an order with us, please review this Refund Policy carefully.

If you wish to cancel your order, contact us as soon as possible. Refund eligibility is determined by the work completed at the time of your cancellation request, as outlined in the sections below. Certain fees are non-refundable regardless of when cancellation is requested.

12.1 Non-Refundable Fees

Order processing work, including payment verification, order authentication, and preliminary review, begins immediately upon order placement. For this reason, the following fees are non-refundable for all orders, regardless of order value, whether the order is ultimately completed, or the timing of any cancellation request:

  • Payment Processing Fees — These fees are included in your transaction total and compensate for payment processor charges incurred at the time of purchase.
  • Agency Fee (also referred to as Service Fee or Business Registration Center Fee) — This fee compensates for order intake, verification, and administrative processing that occurs immediately upon order submission.
  • Instant, Automated, or API-Delivered Product Fees — Fees for products or services that are generated, retrieved, processed, or delivered immediately or near-immediately upon order placement, including Instant Nuans reports, are non-refundable.
  • Name Search & Analysis Fees
  • Specialist Review Fees
  • NUANS Report Fees
  • Name Approval Fees
  • Document Retrieval Fees

Orders Placed in Error: The fees listed above are non-refundable even if you believe your order was placed in error, placed by mistake, or if you request cancellation immediately after ordering. Submitting an order constitutes acceptance of these terms.

Important: Business Registration Center is a private company, not a government agency. Belief that you were transacting with a government entity is not grounds for a refund of non-refundable fees.

12.2 Refundable Fees Under Certain Conditions

Depending on the period of the service, we can provide a refund in the following circumstances:

  • Government Fees: Only if filing has not been submitted to the government yet.
  • Draft Fees: Only if a draft has not been sent for approval via email yet.
  • Company Key Retrieval Fees: Only if company key has not been requested from the government yet.
  • Shipping Fees: If the shipping department has not started preparing the physical items for shipping yet.
  • Future Date Fees: If a future date was not used for filing.

12.3 Add-on Services

A full refund for the following services can be accepted under these conditions:

  • Minute Book: If the minute book has not been prepared.
  • Initial Return Filing: If the Initial Return filing has not been submitted to the government yet.
  • Annual Return/Declaration: If the annual return/declaration filing has not been submitted to the government yet.
  • Company Key: If the company key has not been provided via email yet.
  • Domain/Email: If the domain or email addresses have not been registered yet.
  • Google Listing: If the process of the Google Listing application has not started yet.
  • Business Number: If the business number has not been provided via email yet.
  • GST/PST/Payroll/WCB Account Setup: If consent has been given to proceed with CRA registrations.
  • Share Certificate: If the Share Certificate has not been prepared.
  • Corporate Seal: If the corporate seal has not been prepared.
  • Trademark Pre-Submission Fees: If no search or analysis have been completed for the proposed trademark.
  • Trademark Post-Submission Fees: If the trademark application has not been submitted to the government.

12.4 Company-Initiated Refunds

In limited circumstances where Business Registration Center is unable to complete your order due to factors within our control, refunds may be issued as follows:

Full Refund of All Fees (including Payment Processing Fees):

  • The service requested is outside the scope of services offered by Business Registration Center, discovered after order placement
  • Business Registration Center lacks the legal authority to complete the requested service in the applicable jurisdiction
  • An unremediable technical failure solely on Business Registration Center‘s systems prevents service completion

Refund of Agency Fee and Service-Specific Fees (Payment Processing Fees retained):

  • Business Registration Center makes a processing error (e.g., incorrect service processed)

Not Eligible for Company-Initiated Refund:

The following are not grounds for refund under this section, as they are outside Business Registration Center‘s control:

  • Government rejection of a filing or application
  • Requested business name being unavailable
  • Information provided by the customer being incorrect, incomplete, or insufficient
  • Customer failing to respond to requests for required information or documentation
  • Customer changing their mind after order placement
  • Service processing time exceeding customer expectations

12.5 Chargeback & Disputes

In the event that a chargeback is initiated by a User for any of our Products or Services, the following procedures shall apply:

Invalid Dispute Grounds: The following are not valid grounds for initiating a chargeback or payment dispute, and Business Registration Center will contest any such disputes:

  • Order placed in error or by mistake
  • Immediate cancellation request after order placement
  • Belief that Business Registration Center is a government agency
  • Dissatisfaction with service speed or delivery time
  • Buyer’s remorse or change of mind

Chargeback Notification and Communication: Upon receiving notice of a chargeback, Business Registration Center will make reasonable efforts to contact the User through the contact information provided during the order process. We will attempt to resolve the matter directly with the User before proceeding with formal dispute procedures.

Dispute Response Process: If we are unable to reach a mutually acceptable resolution with the User, or if the User fails to respond to our communication attempts within a reasonable timeframe, Business Registration Center reserves the right to respond to the chargeback dispute through the appropriate payment processor channels. In responding to such disputes, we may provide relevant evidence including but not limited to:

  • Government documents prepared, submitted, or received on behalf of the User
  • Proof of any physical goods prepared or shipped
  • Email correspondence and order confirmations
  • Payment transaction details and receipts
  • Recorded phone conversations
  • Any other documentation relevant to the transaction

Dispute Resolution Outcomes: If the chargeback dispute is resolved in favor of Business Registration Center, the transaction and all related matters shall be considered fully resolved and the User will remain responsible for all amounts due. If the chargeback dispute is resolved in favor of the User, Business Registration Center reserves the right to pursue collection of any outstanding amounts for Services already rendered or products already delivered, including but not limited to referring the matter to a third-party collection agency and reporting the debt to credit bureaus as permitted by law.

Conditions for Dispute Resolution: As a condition of resolving any dispute, Business Registration Center reserves the right to require the User to enter into a Non-Disparagement Agreement. Such agreement may include provisions restricting the User from making negative, defamatory, or disparaging statements about Business Registration Center, its Services, Products, employees, or business practices on any platform, including but not limited to social media, review websites, or other public forums.

13. THIRD-PARTY WEBSITES AND CONTENT

Our Website may contain (or you may be sent via the Site) links to other websites (‘Third-Party Websites’) as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties (‘Third-Party Content’). Business Registration Center does not investigate, examine or check the content of those Websites. Therefore, we are not responsible for those Sites’ practices, policies and content.

Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Services and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Legal Terms no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Services or relating to any applications you use or install from the Services. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party. You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites and you shall hold us blameless from any harm caused by your purchase of such products or services. Additionally, you shall hold us blameless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.
