Extra-provincial registration is a process through which a corporation, either federally or provincially or territorially incorporated, applies for permission to carry on business in a jurisdiction other than its home jurisdiction; where it must have legal capacity and powers, and the capability of holding property or carrying on business in the added jurisdiction.
Extra-provincial registration has a number of requirements:
- Legal Compliances: There are various laws and regulations in each particular province and territory that local and outside businesses have to follow. Extra-provincial registration would eventually give corporations compliance with the requirement in the jurisdiction where they aim to operate.
- Protection of Rights: Registration will serve in protecting the legal rights of corporations, hence having them stand a chance of gaining the benefits accruable under the laws in the added jurisdiction. It provides a legal framework upon which the corporation can conduct business activities, enter into contracts, and enforce its rights.
- Transparency and Accountability: The extra-provincial registration advocates accountability and transparency wherein information about the operations and activities in the corporation will be made available to the regulatory authorities or the public in the additional area.
Where you plan to operate in other provinces or territories, you will also need to register as an extra-provincial or extra-territorial corporation in those jurisdictions.
