  • Is there any name rules?
    Yes, The name can consist of two parts: a unique or distinctive element and a descriptive element. It must conclude with either "LLP" or "limited liability partnership." For instance, "Mike Johnson Legal Services LLP" is a suitable example.
  • What is NUANS report?
    A business must be registered under an approved name. To obtain this name approval from the provincial government, a NUANS report must be submitted.

    This is a concise overview of your business. You can summarize your main activities in one sentence by listing three key functions that your business engages in.
  • What date to be selected as start date?
    Please specify the date on which you wish to register your business. If you opt for a future date, please note that you will not receive your registration documents until that date arrives. Consequently, most individuals choose the current date.

    If you are unable to upload the documents at this time, you can proceed with the order and submit them later via email or fax.
  • What is LLP Permit?
    Before registration, it is essential to obtain an LLP permit (often referred to as a professional endorsement) from the governing body relevant to your profession (such as the Law Society, CPA Association, or Engineering Association, among others.)
  • Why need to pay for LLP permit application?
    It is your responsibility to secure an LLP permit (professional endorsement) before proceeding with registration. The government's corporate registry will hold your registration until this document is received. Our agents and lawyers can prepare the LLP permit application for you, which will then be sent to you for submission to your governing body. Please note that a fee will be charged for this additional service.

    According to Alberta government requirements, a valid Canadian photo ID (such as a passport or driver's license) must be submitted.

It can be either a commercially rented space or a home address, and this address can be changed if necessary.

    A partner can be a Canadian citizen, permanent resident, or foreigner. If all partners are foreigners, an attorney service is required. In this case, please select products from the "non-residents" tab.

  • What is business number?
    Every business in Canada is required to obtain a business number from the Canada Revenue Agency (CRA). This number serves as the official identification for your corporation with the CRA.
  • What is GST/HST account?
    Every business is required to have a GST/HST account to collect GST/HST on sales. The customer's invoice or receipt must include the GST/HST number. Failure to collect GST/HST may result in penalties from the CRA.
  • What is payroll account?
    A payroll account is necessary in all situations. Even if you do not have employees, you can process your own salary through the payroll account. Please note that this is not a payroll service; rather, it is the initial setup of a payroll account with the CRA.
  • Do I need PST account?
    A PST account is required in your province to collect PST, unless you qualify as a PST-exempt individual.
  • Do I need QST account?
    In the province of Quebec, a QST account is necessary to collect QST on sales and is also required for annual tax filing.

  • If your business involves with export or import, you need to register for it. The government of Canada uses the import/export account number to process your customs documents.

    Workplace Safety Board registration is essential for businesses planning to hire employees, whether now or in the future. This includes WCB in Alberta, WSIB in Ontario, and WSBC in BC. What is a Limited Liability Partnership?

A Limited Liability Partnership (LLP) in alberta is a type of business structure where each partner’s liability is limited to the amount they put into the business. This means that if the business is sued or goes bankrupt, the partners are only responsible for the debts up to the amount they invested in the business. Unlike a general partnership, where all partners are personally liable for the debts and obligations of the business, an LLP provides some protection to the partners’ personal assets.

Here are some key points to consider before deciding if an LLP is the correct business structure for you.

  • It offers limited liability protection to its partners, similar to a corporation.
  • The Partnerships Act allows certain professionals to work in limited liability partnerships, but only if their profession’s specific laws also allow it. This is generally for Lawyers and Accountants.
  • The name of the partnership should end with either “limited liability partnership”, “société à responsabilité limitée”, or the abbreviations “LLP”, “L.L.P.”, or “s.r.l.”.
  • While an LLP can be a great choice for some businesses, it’s important to consider the potential drawbacks, such as personal liability for each partner and potential conflicts between partners.
What happened to the Master Business License (MBL)?

Before October 18, 2021, any unincorporated business registrations in alberta, including Sole Proprietorships, Partnerships, and Trade Names, were issued a document known as a Master Business License. However, as of October 18, 2021, the Master Business License was phased out and replaced with a new set of documents:

  • Business Name Registration For a Sole Proprietorship
  • Business Name Registration For a Corporation
  • Firm Name Registration For a General Partnership
  • Declaration of an alberta Limited Partnership
  • Firm Name Registration for an alberta Limited Liability Partnership
Why can't I register a Limited Liability Partnership Federally?

The federal corporate registry, Corporations Canada, doesn’t permit the federal registration of unincorporated businesses. Such businesses, including limited liability partnerships, can only be registered at the provincial or territorial level.

What do I need to know after registering?
