Any rules for corporation's name?
A name typically consists of two key elements: a distinctive element and a descriptive element. The distinctive element should be unique or a made-up word, avoiding common English terms, while the descriptive element can be a common word that describes the nature of your business. For example, in "Mike Construction," 'Mike' serves as the distinctive element and 'Construction' acts as the descriptive element. Please provide your ideal name, and if it doesn't meet the criteria, we will guide you in finding a suitable alternative.
Which Legal Ending to choose?
Every corporation is required to have a legal suffix following its name. You can select the option that best complements your business name for appearance purposes.
What is a valid NUANS report?
NUANS stands for Newly Upgraded Automated Name Search. It is a federal name search system used to check for existing business names that may be similar to yours, helping to avoid potential conflicts. To register a corporation, a valid Reservation Report is required. Please Click here to see the sample of NUANS Report
Why I need Nuans & Name Approval?
Before incorporating a named federal corporation, the name must receive pre-approval from Corporations Canada. To submit a name pre-approval request, a valid NUANS report is required. Thus, the process involves three steps: first, obtaining a valid NUANS report for reservation. second, securing the name pre-approval; and third, registering the corporation.
What is required for the Name Approval?
The name must be submitted to the Government for approval. This process includes:
  • When submitting a name request application to the government, you can include up to three choices of names in a single submission. If you do not have three different names, you may repeat the same name for all three options.
  • The government will review your submitted name request to check the availability of your proposed name and assess its validity for registration. They will ensure that the name complies with applicable regulations and does not conflict with existing business names.
  • After the government processes your name submission, you will receive a Name Request Number (NR number). This number is valid for 56 days and must be used for any further actions regarding your corporation's name registration within that timeframe.

Share Structure

Will it issue class B non-voting share?

Help Section

What is share and why need it?
Since a corporation is a separate legal entity from its owners, it can only be owned by holding its shares. The corporation's assets and equity are divided into portions, each of which is referred to as a share. For example, if a corporation issues 100 shares valued at $1 each, the total net worth of the corporation would be 100 x $1 = $100.
Can I change share price in future?
To simplify corporate filing, most people initially set a share price of $1. Over time, the share price and the number of shares can be increased as needed.
What is class A and B shares?
A corporation's stock is divided into shares, and those who own these shares are, in fact, the owners of the corporation. To categorize the owners, shares are classified accordingly. Owners of Class A common voting shares have the right to vote on changes to the corporation's policies and rules, while owners of Class B common non-voting shares do not possess such rights.

What does shareholder mean?
In simple terms, shareholders are the owners of a corporation. If a corporation has only one shareholder, that single shareholder owns 100% of the shares, regardless of how many shares there are.
How to set up share class?
A corporation has 2 shareholders: John and Mike.
Case 1: Both owners have rights to vote: Assign class A to both.
Case 2: Only John has voting rights: Assign class A to John and class B to Mike.
How to set up share number?
Share number cannot be in decimal point.
Case 1: John, Mike, and Ali each own the same percentage of the corporation. For example, if the total number of shares is 300, each would own 100 shares, resulting in an equal ownership of one-third (33.33%) of the corporation.
Case 2: John owns 40%, Mike owns 30% and Ali owns 30%: Assign shares 40 to John, 30 to Mike and 30 to Ali.
Case 3: John owns 51%, Mike owns 24.5% and Ali owns 24.5%: Avoid decimal point by doubling the proportion. Assign 102 to John, 49 to Mike and 49 to Ali.
Can I change share details in future?

What are Cooperatives?

Federal cooperatives are a type of business model where the organization is owned and run by its members. They operate based on democratic principles, where each member has an equal say in decision-making. They can serve various functions such as consumer services, producer services, community development, education, sustainability, and technology innovation. The specific use case for a cooperative depends on the needs and goals of its members. An example of a cooperative is MEC (Mountain Equipment Co-op). They are a retail cooperative that sells outdoor recreation gear and clothing exclusively to its members.

Why should I incorporate my business federally?
  • Name Protection: Your chosen corporate name is protected under federal law, preventing other businesses from using it across Canada. This provides robust brand protection and helps avoid legal disputes.
  • Limited Personal Liability: A federally incorporated entity is a separate legal entity from its owners. This means directors and shareholders are shielded from personal liability for the corporation’s debts and obligations.
  • Perpetual Life: A federal corporation can continue to operate indefinitely, regardless of changes in ownership or leadership. This allows for long-term planning and stability.
  • Attracting Investors: Federal corporations are often more attractive to investors due to limited liability and the ease of transferring shares.
  • Tax Advantages: Federal corporations can benefit from a variety of tax advantages, including lower tax rates and specific deductions, particularly beneficial for holding companies and professional corporations.
  • Access to Capital: Federal corporations can access capital through various means, including selling securities to investors.
  • Enhanced Credibility: Federal incorporation can enhance credibility with partners, customers, and lenders, signifying a professional and established business.
  • Separate Credit Rating: Federal corporations establish their own credit rating, distinct from the personal credit scores of its owners. This can make it easier to obtain corporate credit and secure loans.
  • Employee Benefits: Federal corporations can offer employee benefits like stock options and retirement plans, which can be attractive to potential employees.
  • National Recognition: Federal incorporation provides recognition and legitimacy across Canada, allowing for expansion and growth in different provinces and territories.
What are the unique benefits of incorporating federally?
  • Heightened Name Protection: Corporations Canada applies very tough tests before granting a company the right to use a particular name. When a company’s name is approved, it’s protected across the country – a status second only to trade-mark protection.
  • Right to Carry on Business Anywhere in Canada: Federally incorporated companies can carry on business anywhere in Canada, and there are no restrictions regarding the province or territory where the head office is located, corporate records are maintained and annual general meetings are held.
  • Recognition: Federal incorporation is often considered a sign of distinction, companies incorporated federally receive global recognition as Canadian companies.
How quickly can my business be incorporated?

Your business can be incorporated as a numbered standard federal corporation in a mere 2 BUSINESS HOURS! For named corporations, the process can be completed within 6 business hours. Other types of incorporations may take up to 7 business days.

What is required to incorporate my Federal company?
  1. Choose a Business Name: Your business name must be unique and distinguishable from other registered business names across Canada. You have the option to choose your own name or have the government assign you a numbered name. If you are registering a named corporation, you will need a NUANS report (Purchasable through our incorporation packages). Be aware that depending on your incorporation type, you might need to use certain names that follow rules set by the relevant authorities. If we find any issues with the proposed name we will guide you and suggest possible names that would be viable for the incorporation.
  2. Incorporators, Directors, Officers, and Shareholders: In the process of incorporation, you must determine the directors, officers and their respective roles, and the shareholders of the corporation. At least one person is required to serve as an incorporator, director, and shareholder, and it’s possible for a single individual to occupy all three positions. Officers are viewed as employees within the corporation. Keep in mind Not-For-Profits and Co-Ops require a minimum of 3 directors to operate.
  3. Registered Office Address: Every business is required to have a registered office address, which could be either a commercial or a residential location anywhere in Canada. If you do not have an accessible address in Canada, our Address & Mail Forwarding Service is available for purchase (Only available for registration purposes).
Are there any residency requirements to incorporate federally?

Yes, at least 25% of the corporation’s directors are required to hold either Citizenship or Permanent Resident (PR) Status.

How can a foreign business operate in Canada?

Please see our packages for Business Registry By Non-Residents

What are Extra-Provincial Registrations?

Extra-provincial registration is the procedure where a corporation, whether incorporated federally, provincially, or territorially, requests authorization to undertake business operations in a different jurisdiction (province or territory). This registration enables the corporation to operate legally and fulfill its obligations in the additional jurisdiction.

Extra-provincial registration is necessary for several reasons:

  • Legal Compliance: Each province or territory has its own laws and regulations governing business activities. By undergoing extra-provincial registration, corporations ensure compliance with the specific requirements of the jurisdiction where they plan to operate.
  • Protection of Rights: Extra-provincial registration allows corporations to protect their legal rights and access the benefits and protections offered by the laws of the additional jurisdiction. It provides a legal framework for the corporation to conduct business activities, enter into contracts, and enforce its rights.
  • Transparency and Accountability: Extra-provincial registration promotes transparency and accountability by making information about the corporation’s operations and activities available to the regulatory authorities and the public in the additional jurisdiction.

If you are planning to operate in other provinces or territories, you will also need to register as an extra-provincial or extra-territorial corporation in those jurisdictions. This process carries legal implications and requires compliance with the laws and regulations of both the original jurisdiction of incorporation and the additional jurisdiction. These implications may include filing requirements, maintaining a registered office address, and appointing a registered agent within the additional jurisdiction. Our Address Service and Agent Service, enables our clients to register their corporations in provinces and territories where they currently have no presence. These services are included in our incorporation packages.

Will I receive any post-incorporation support?

8.2 Agent Service (Agent for Service/Attorney Service)

10. SERVICE TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use our Services or products. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR PRODUCTS AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

The Agreement of services or our products starts the day you request our services or products, and it can expire or terminate, depending on the nature of the product or service we provided.

Termination:

An agreement terminates when the parties do not reach the end of the agreement but one of them desires to terminate it because the other party violated the provisions of this Policy. Any refund in such circumstances shall be subject to Section 12 (Refund Policy), and fees designated as non-refundable in that section shall not be refunded.

In the following cases we may decide to terminate our services with you:

11. SERVICE LIMITATION AND EXPIRATION

11.1 Suspension and Termination

In the case that Business Registration Center notices any issue with an order, and there are any possible risks, consistent and material violations of policies, Business Registration Center reserves the right to suspend or terminate the service if it is mandatory by law.

11.2 Abandoned Orders

In the event that Business Registration Center requires additional information or documentation from a User to complete an order, and the User fails to respond to our communication attempts, the following protocol shall apply:

Communication Timeline: When we require a response from the User to proceed with an order, Business Registration Center will contact the User via phone and email. If no response is received within seven (7) days of the initial contact, we will send a second reminder. If the User still fails to respond, a third and final reminder will be sent, which will include a deadline of an additional seven (7) days for the User to respond.

Order Abandonment: If the User fails to respond within twenty-eight (28) days from our initial contact attempt, the order shall be deemed abandoned and Business Registration Center will close the order. No refunds will be issued for abandoned orders, as the abandonment is due to the User’s failure to provide necessary cooperation to complete the Services.

Reactivation: Should the User contact Business Registration Center after an order has been deemed abandoned, we reserve the right, in our sole discretion, to refuse reactivation of the order. If we agree to reactivate an abandoned order, the User may be required to pay a reactivation fee in addition to any outstanding amounts before Services can resume from the point of abandonment.

12. REFUND POLICY

Thank you for choosing Business Registration Center. We strive to ensure that you are fully satisfied with our services and products. Before placing an order with us, please review this Refund Policy carefully.

If you wish to cancel your order, contact us as soon as possible. Refund eligibility is determined by the work completed at the time of your cancellation request, as outlined in the sections below. Certain fees are non-refundable regardless of when cancellation is requested.

12.1 Non-Refundable Fees

Order processing work, including payment verification, order authentication, and preliminary review, begins immediately upon order placement. For this reason, the following fees are non-refundable for all orders, regardless of order value, whether the order is ultimately completed, or the timing of any cancellation request:

  • Payment Processing Fees — These fees are included in your transaction total and compensate for payment processor charges incurred at the time of purchase.
  • Agency Fee (also referred to as Service Fee or Business Registration Center Fee) — This fee compensates for order intake, verification, and administrative processing that occurs immediately upon order submission.
  • Instant, Automated, or API-Delivered Product Fees — Fees for products or services that are generated, retrieved, processed, or delivered immediately or near-immediately upon order placement, including Instant Nuans reports, are non-refundable.
  • Name Search & Analysis Fees

  • Document Retrieval Fees

Orders Placed in Error: The fees listed above are non-refundable even if you believe your order was placed in error, placed by mistake, or if you request cancellation immediately after ordering. Submitting an order constitutes acceptance of these terms.

Important: Business Registration Center is a private company, not a government agency. Belief that you were transacting with a government entity is not grounds for a refund of non-refundable fees.

12.2 Refundable Fees Under Certain Conditions

Depending on the period of the service, we can provide a refund in the following circumstances:

  • Government Fees: Only if filing has not been submitted to the government yet.
  • Draft Fees: Only if a draft has not been sent for approval via email yet.
