    A business name typically consists of two elements: a distinctive and a descriptive element. The distinctive element must be unique or made-up, while the descriptive element can be a common English word. For example, in "Mike Construction," 'Mike' is the distinctive element, and 'Construction' is the descriptive element.   • Which Legal Ending to choose?
    Every corporation must include a legal ending after its name, as required by law. The government offers six legal endings, all with the same meaning. You are free to choose the option that best complements your business name and appearance.
  • What is a numbered company with a trade name?
    Many people opt for a numbered company with a trade name to expedite the incorporation process, bypassing the name approval step. If you don't choose a name, the corporation number becomes the company's name, such as "9872587 Alberta Inc." operating as a trade name. The primary advantage of a numbered company is that it skips the NUANS name search and approval process, making incorporation faster and less costly.   • Every Alberta corporation must appoint an Agent for Service who must reside in Alberta. This individual would be the primary point of all communications from the government.     Each director holds equal power and control over the corporation. This means that the second director can remove the primary director, and vice versa. Therefore, it is advisable to add an additional director whom you trust to ensure balanced governance and decision-making.

  • Basic Articles: Used when corporation is owned by a single owner. It allows to issue unlimited common shares and:
    • Does not offer preferred shares,
    • Does not specify any class (such as class A or class B)

  • What is company bylaws?
    Corporate bylaws, also referred to as the company constitution, are the rules, rights, regulations, and policies established by a corporation. These bylaws are typically prepared by a corporate lawyer to ensure that no rules or clauses conflict with the Provincial Corporations Act or the Canada Business Corporations Act (CBCA). This helps maintain compliance and provides a clear framework for the governance of the corporation.
  • What is corporate minutes?
    A Corporate Minutes is the collection of corporate records (including the articles of incorporation) to provide anyone who inspect the record or at the time of auditing. Corporate Bylaws and Minutes may also be required by certain banks to open an account.
  • Benefits of doing all in one package
    Yes, the expenses incurred during the incorporation of a company are considered business development expenses and are tax creditable. However, any spending after incorporation is classified as operating expenses, which are not tax creditable.   • What is share and why need it?
    Since a corporation is a separate legal entity than its owners, it could owned only by owning its shares. The corporation's assets and stocks are go split into pieces and each of these pieces is called share. If a corporation issues 100 shares with $1 each, the total net worth of the corporation is 100x$1=$100.
  • Can I change share price in the future?
    For simplicity of corporate filing, most people initially set up $1 share price in the beginning. However, both the share price and the number of shares can be adjusted as the corporation grows over time.
  • What is class A and B shares?
    A corporation's stock are combine into Class A and B shares. Those who own the shares, are in fact the owners of the corporation. Therefore, to make a classification of owners, shares are classified. Class A common voting share owners have voting rights to change the corporation's policies and rules. Class B common non-voting share owners do not have a say in corporate decisions.

    In simple language, the shareholders are the owners of the corporation. If a corporation has 1 shareholder, regardless of number of shares, the single shareholder owns 100% of the shares.
  • How to set up share class?
    A corporation has 2 shareholders: Jack and Mike.
    Case 1: Both owners have rights to vote: Assign class A to both.
    Case 2: Only Jack has voting rights: Assign class A to Jack and class B to Mike.
  • How to set up share number?
    Share number cannot be in decimal point.
    Case 1: Jack, Mike and Ali own same percentage: Assign exact same number to each.
    Case 2: Jack owns 40%, Mike owns 30% and Ali owns 30%: Assign shares 40 to Jack, 30 to Mike and 30 to Ali.
    Case 3: Jack owns 51%, Mike owns 24.5% and Ali owns 24.5%: Avoid decimal point by doubling the proportion. Assign 102 to Jack, 49 to Mike and 49 to Ali.

    When submitting the Initial Return, the company's official email address is included in the corporate profile. This email address will receive all notifications, alerts, and important communications concerning your corporation. Additionally, if you ever need to reset your company key, the reset code will be sent to this same email.
  • What is an officer's role?
    The officers of the corporation (e.g., President, CEO, Vice President, Secretary, etc.) are tasked with overseeing the business's daily operations. In their respective positions, they hold the legal authority to represent and make decisions for the corporation in almost all lawful business matters.
  • Can one individual be in multiple roles?
    In many corporations, a single individual often assumes multiple roles at the outset, such as director, incorporator, officer, and shareholder. However, as the company expands, these roles can be reassigned to others in order to better suit the organization’s evolving structure and requirements.
  • What are the usual positions/designations?
    Usually, The titles 'President' or 'CEO' are allocate to the primary director or the most important individual within the corporation. Other roles may include Vice President (VP), Treasurer, Secretary, Administrative Assistant, and so on, illustrating the hierarchy and responsibilities within the organization.

  • Who needs a GST/HST account?
    If you sell products and services in Canada and collect GST/HST from your customers, it is mandatory to obtain a GST/HST Account Number. It is essential that customer invoices or receipts display this HST number. Not collecting HST could lead to penalties imposed by the Canada Revenue Agency (CRA).
  • Who needs a payroll account?
    If you hire employees, including yourself, you should have a Payroll Account Number. If you do not have any employees, you can process your own salary or that of a family member through the payroll account to take advantage of CRA's "income splitting." Please be aware that this pertains to the initial establishment of a payroll account with the CRA and does not equate to a payroll service.
  • What is import account?
    If your business includes importing physical goods, it is required. The government utilize this account to process the customs clearance.
  • What is export account?
    If your business includes exporting physical goods, it is required. The government utilize this account to process the customs clearance.
  • Do I need WCB registration?
    Registering with Workers' Compensation Board (WCB) is needed for most businesses In Alberta within 10 days of hiring their first employee. Certain types of businesses are exempted from mandatory registration with WCB based on the activities (Examples are banks, insurance companies, hair salons (with exceptions), private schools or daycares, travel agencies, etc.) but many employers in these industries choose to register with the WCB anyways for protection to their workers. WCB registration is particularly crucial for small businesses and start-ups, as it offers financial security in the event of a workplace accident.

  • What is share certificate?
    Share certificates as legal and official proof of ownership of a company. Banks may request to see these certificates when opening a bank account. Most people choose 5 share certificates to save costs, some choose 10 or 20. It includes blank certificates in case you want to add spouse, child or friend as shareholder in future.
  • Do I need a corporate seal?
    The company seal, is a tool used to stamp or emboss the company's important documents in order to show the document is certified by, and agreed upon by, the Board of Directors of the company. Commonly used for:
    1. employment and vendor contracts
    2. minutes from Board of Directors meetings
    3. leases
    4. Documents required for bank loans or mortgages
    5. any contracts or agreements

  • Why do I need Annual Return?
    The Annual Return of Corporation must be filed annually for every Canadian corporation to maintain its active status. This filing is essential for keeping the corporation’s records current.
  • Any benefit of doing in package?
    Yes, the expense is tax creditable. When you incorporate a company, the expenses are called business development expenses which are eligible for tax credits. However, any spending that occurs after incorporation is categorized as operating expenses and is not tax creditable.

    • If you choose the Priority Queue, we will email you the corporation's articles, certificate and minute book in 1 Business Day regardless of the named or numbered corporation.

    • If you choose the Regular Queue, we will email you the corporation's articles, certificate and minute book in 7 Business Days regardless of the named or numbered corporation.

  • Notes on the draft review service
    The package does not include an extract of the draft version from governmental systems sent to our customers. If you would like to review the draft before final submission, this option is available. Please note that the speed of your chosen service will determine when the draft copy is emailed to you. If we do not receive your approval within the specified timeframe, our representative will move forward with the final submission and will subsequently send you the relevant company establishment documents.

    • Xpresspost Certified: is a service for sending documents that captures the recipient's signature upon delivery of the item. This service is ideal for sending important notices as well as legal and court documents.
