  • What is NUANS report?
    A professional corporation must be registered as a named corporation. it cannot be a numbered corporation. As a result, a valid NUANS report is necessary. You have the option to upload your existing report or request us to obtain it on your behalf.
  • What is a name approval?
    A name approval from the government is required for a professional corporation. As an agent of Industry Canada, we can obtain the NUANS report and name approval on your behalf. We first check the availability of the name and then secure government approval promptly. If the pre-check reveals any conflicts, you have the option to provide us with two additional name suggestions at no extra cost.

  • How quickly can I receive the documents?

    We are an agent of Industry Canada. When you pay us to obtain name approval on your behalf, we first conduct a pre-search in the Industry Canada system and the provincial name database. If the name presents a conflict or has a high chance of being rejected, we will advise you to submit new names at no additional cost. However, once a name is submitted to the government, resubmitting a new name will incur additional fees for name approval.
  • How about legal suffix?
    All professional corporation names must end with the legal suffix "Professional Corporation." You may include it in your proposed name. If you do not include it, we will add this phrase after the name of the corporation.

  • To register a corporation in this province, a local provincial physical address is required where the government will send documents. If you do not have a physical address in this province, our agency provides address and mail scanning service.

  • What is corporation's address?
    It is the location where the business operates, which can be a commercial rented space or a home address. It cannot be a P.O. Box; it must be a physical address. CRA documents will be sent to this address.
  • Can I change this address later?
    Yes, these addresses can be changed later. In many cases, a residential address is provided when a commercial space has not yet been rented.
  • Do you provide address service?
    If you do not have a local provincial address, we offer a registered address and mail scanning service. Please click on the form where it says, "If you don't have an address in this province, click here."
  • Is the address service renewable?
    Yes, you have the option to renew it on an annual basis. Typically, the price remains the same.
  • Agent for Service (Must be Alberta Resident)

  • Every Alberta corporation must appoint an Agent for Service who must reside in Alberta. This individual would be the primary point of all communications from the government. This could be the primary director or any other director who resides in Alberta. If all directors are non-Alberta residents, you can appoint an Alberta attorney or can take the service offered by us.

  • Is this service renewable?
    Yes, every year when you file annual return for your corporation, you can renew this service. Normally the prices remain same.

  • Who is a director?
    A director is the overall head of the corporation (i.e., the owner and a member of the regulatory body). You can add more than one director (up to five) as long as they are also members of the regulatory body.
  • How about doing for a client?
    If you are incorporating a corporation for a client, please do not write your name here. This section is for the name of the primary owner of the corporation. We will not contact this person; instead, we will reach out to the individual listed in the billing address. You can provide your details in the billing address during checkout.

    The additional director must be a member of the same regulatory body. Each director has equal power and control over the corporation; the second director can remove the primary director and vice versa. Therefore, you should add an additional director whom you trust. You also have the option to add a director at a later time.

  • Who is an incorporator?
    The incorporator is the person or persons under whose authority the corporation is being created. Typically, all directors serve as the incorporators.
  • How about doing for a client?
    If you are incorporating for a client, you may choose "all directors are incorporators." We do not contact your clients directly; instead, we will reach out to the person listed in the billing address. You can provide your details in the billing address section.
  • What is best for a holding company?
    If you are incorporating a holding company, you may choose the option "incorporator is another corporation."

  • Why Minute Book Matters?

  • A Minute book is a corporate legal document prepared by a corporate lawyer. As per corporation act, a Minute book is MANDATORY. Minute book consists of by laws, share structure & other legal sections. It's REQUIRED to open bank account. Without it, a corporation is not complete. A Minute book must be presented when corporation is audited. The next page will skip if you do not choose Minute Book. We left here as optional because many law firms incorporate with us who prepare their own minutebook.

  • Is minutebook required?
    Yes, it is mandatory according to the Corporation Act. The owners, shareholders, share structure, and share class are defined in the minute book. If you do not select the minute book, the next step, the "Share & Shareholders" section, will be skipped, assuming you will handle the minute book with another firm.
  • Any advantage of doing in package?
    When you incorporate a company, the expenses incurred are classified as business development expenses, which are tax-deductible. Any spending that occurs after incorporation is considered an operating expense and is not tax-deductible. Handling these processes separately later involves a manual process that can be more costly and time-consuming.

  • What is an officer?
    Anyone, including an employee, can be an officer of the corporation. This role is not as critical as that of a director and can be changed at any time.
  • What designation to choose?
    Any designation is acceptable. While it's more significant for larger corporations, it can be changed later as needed.
  • Can same person be in many roles?
    Yes, same person can be director, incorporator, officer and shareholder. Most new corporation starts in that manner and changes when it grows bigger.

    This is just the initial setup, and it can be changed later as the company grows. Most people typically use $1 as the initial price.
  • What is class B shares?
    These are considered weaker than Class A shares. Most people do not issue them at the beginning; however, some may issue them if they plan to sell some of their shares to others.
  • Can I change these later?
    Yes, both the share price and the number of shares can be changed at any time. Currently, you are only setting up the initial price, and any number is acceptable since you don't yet know how the company will perform.

  • What number of share I put?
    If you are the only shareholder, any number of shares is acceptable, as you will own 100% of the shares. Most people typically opt for 1 share. This can be changed later. If there is more than one shareholder, the shares should be allocated proportionately.
  • Can I change shareholder later?
    Yes. You can add or remove sharehodler at anytime.
  • How to put share in percentage?
    Total shares are calculated by adding the number of shares held by each shareholder. For example, if you hold 60 shares and your spouse holds 40 shares, the total number of shares would be 60 + 40 = 100. In this case, you would hold 60% of the shares, while your spouse would hold 40%. If there is more than one shareholder and you want to assign shares in percentages, the total number of shares should equal 100.

  • Why need GST account?
    This is the initial setup for a GST account with the CRA. Every corporation must have a GST account to collect GST on sales. Customer invoices or receipts must also display the GST number. Failure to collect GST can result in penalties from the CRA.
  • What is payroll account?
    A payroll account is applicable in all cases. Even if you do not have employees, your own salary must be processed through a payroll account. Please note that this is not a payroll service; it is simply the initial setup of a payroll account with the CRA.
  • What is import export account?
    If your business involves importing or exporting physical goods, having a customs account is required. The government uses this account to process customs clearance.

  • Why should I choose in package?
    There Two major benefits. 1. Tax claimable: Costs incurred during the business setup are classified as Business Development Expenses and are tax-deductible. In contrast, costs incurred after the business is registered are classified as operational costs and are not tax-deductible. Since these mandatory filings will occur regardless, it is wise to include them in the package. 2. Cost Efficiency: The default process involves completing these filings together with the corporation setup, making it cheaper when included in a package. If these services are handled later, it involves manual forms and processes, which can be more costly and take longer to process.
  • What is domain name?
    We recommended to reserve a domain name is related to your business name. If your desired domain name is already taken by another domain registrar or a competitor, it may become challenging to establish your brand and operate your business effectively without a suitable website. (example: www.yourbusinessname.ca)
  • What is WCB registration?
    The Workers' Compensation Board (WCB) is responsible for safety and injury matters. If your corporation plans to have employees now or in the future, it must register with the WCB. We will handle the registration and provide you with the account number, connecting you with the WCB authority. Please note that there are no monthly premium fees; instead, the WCB authority will inform you of your eligibility for free programs or applicable fees.
  • What is initial returns?
    The Government of Alberta mandates that you file the Notice of Initial Returns within 60 days of incorporation. Failing to file the initial returns may result in your corporation being deemed null and void. We recommend including this in the package to prevent any oversight in filing later.

  • What is share certificate?
    Share certificates serve as the legal and official proof of ownership of a corporation. You will need them for any official purposes, such as banking, contracts, or mortgages. They are highly recommended, especially if you have more than one shareholder. We will also provide some blank certificates that can be used in the future if you decide to add additional shareholders, such as a spouse, child, or friend.
  • What is corporate seal?
    A corporate Seal is a protection against fraudulent activity. It has legal value (by default defends) in case anybody create false docs or make false loan in your company name. It's highly recommended if your company has frequent transactions or provide receipt, invoices. It's also needed if you go for loan, mortgage, employment contract, service contract or any sub-contract.
  • What does service support include?
    This service includes legal, accounting, and corporation update services. Every new corporation receives notices from the CRA, federal and provincial governments, and competitor businesses. As a small company, if you don't have your own lawyer or accountant, our team of lawyers, accountants, and corporate specialists is here to assist you. This service is typically valued at $399, but is available for only $99 when included in a package.
  • How supplies will be shipped?
    Supplies, including the physical minute book, share certificates, and corporate seal, will be shipped via Canada Post (expedited), and you will receive a tracking number in your email. Please note that this address is solely for the shipping of supplies. Government documents will always be sent to the corporation's registered address.
